RULES FOR THE PURCHASE AND SALE OF GOODS IN THE ONLINE SHOP OF ES INŽINERINIAI SPRENDIMAI UAB

1. General provisions
1.1 These Terms and Conditions of Purchase and Sale of Goods (hereinafter referred to as the "Terms and Conditions"), once accepted by the Buyer (by reading the Terms and Conditions and by ticking the box next to the statement "I have read and agree to the Terms and Conditions of ES inžineriniai sprendimai UAB"), are a legal document binding on the parties and setting out the rights and obligations of the Buyer and the Seller, the terms and conditions of purchase of the goods and of the payment for the goods, the procedure for delivery and return of the goods, the liability of the parties and other matters relating to the purchase and sale of goods b3group.com online store.
1.2 The Seller reserves the right to change, amend or supplement the Terms and Conditions at any time, taking into account the statutory requirements. The Buyer will be informed of any changes, amendments or additions at the time of logging in to b3group.lt and will be required to re-accept the modified Terms and Conditions in order to shop on this online store.
1.3. b3group.lt online shop is traded only in the territory of the Republic of Lithuania.
1.4 The following persons are entitled to make purchases in our online shop:
1.4.1. able-bodied natural persons, i.e. persons who have reached the age of majority and whose legal capacity has not been restricted by a court;
1.4.2. minors between the ages of 14 and 18, only with the consent of their parents or guardians, unless they are self-reliant;
1.4.3. legal persons;
1.4.4. authorised representatives of all the above.
1.5 By accepting the Terms and Conditions, the Customer confirms that, in accordance with Clause 1.4 of the Terms and Conditions, he/she has the right to purchase the Goods in the "b3group.lt" online shop.
1.6 By accepting the Terms and Conditions, the Buyer confirms that he/she agrees that the instructions for the item(s) ordered by him/her in the Lithuanian language may, at the discretion of the Seller and subject to technical feasibility, be made available only in the manner provided for in Clause 2.2 of the Terms and Conditions, to the e-mail address specified by the Buyer, by sending to the Buyer an active link to such information at the time of the preparation of the item(s) ordered.
2. Protection of personal data
2.1. Order goods in the online shop b3group.lt There are two ways for the buyer to:
2.1.1. by registering on this website, entering your registration name and password;
2.1.2. without registering on this website.
2.2 When ordering Goods by the methods set out in both Clauses 2.1.1 and 2.1.2 of the Rules, the Buyer shall use the relevant fields of the Seller's information to Available at provide the personal data necessary for the proper execution of the order: name, surname, delivery address, telephone number and e-mail address; and can indicate your gender and age.

2.4 By consenting to the processing of his/her personal data for the purpose of the sale of goods and services in the Seller's online shop, the Buyer also consents to the sending of information messages to the e-mail address and telephone number he/she has provided, which are necessary for the execution of the order of goods.
2.5 If the Customer does not wish to have his/her e-mail address processed for direct marketing purposes, he/she must enter the "My details" section, untick the box next to "News by e-mail" and click on the "Update" link. If the Buyer does not wish to have his/her telephone number processed for the purpose of direct marketing, he/she must inform the Seller in accordance with the procedure set out in point 2.1.1 of the Conditions.
2.6 The Seller confirms that the personal data provided by the Buyer will be processed only for the purpose of selling goods and services in the online shop b3group.lt , analysis of the Seller's activities and direct marketing (unless the Buyer notifies in accordance with the procedure referred to in Clause 2.5 of the Terms and Conditions that he/she does not wish his/her personal data to be processed for the purposes of direct marketing). The Seller undertakes not to disclose the Buyer's personal data to third parties other than the Seller's partners providing delivery or other services related to the proper execution of the Buyer's order. In all other cases, the Buyer's personal data may be disclosed to third parties only in accordance with the procedure provided for by the legislation of the Republic of Lithuania.
2.7 As a data subject, the Buyer has the following rights:
2.7.1. to obtain from the Seller information about the processing of his/her personal data, i.e. to have access to his/her personal data and how they are processed, to obtain information from what sources and what his/her personal data have been collected, for what purpose they are processed, and to what recipients they are provided, and have been provided for the past 1 (one) year;
2.7.2. to request the rectification, destruction of his/her personal data or the suspension, except for storage, of the processing of his/her personal data where the data are processed in a manner that does not comply with the provisions of the Law on the Legal Protection of Personal Data and of other laws;
2.7.3. to object to the processing of his/her personal data.
2.8 Pursuant to Clauses 9.3.3 and 9.4.3 of the Rules, the Buyer's identity document and the Buyer's data contained therein submitted to the Seller's employee or to the employee of Lietuvos Pasts shall be used only for proper identification of the Buyer.
2.9 The Customer who wishes to order the services of partners offered by the Seller's online shop may do so by consenting to the transfer of his/her personal data, as explicitly stated, to the relevant partner (data recipient) for the purpose of providing the services ordered.
2.10. In order to provide the Customer with a complete online shop b3group.lt services, the Seller stores information on the Buyer's computer (device) - cookies. The Seller uses the information recorded by the Buyer as a previous b3group.lt to identify the visitor to the online shop, to store information about the purchases placed in the Buyer's shopping cart, and to collect website traffic statistics. The Buyer has the possibility to view what information (cookies) the Seller records and can delete some or all of the cookies recorded. The Buyer also has the right to object to the recording and use of information (cookies) on his/her computer/device, in which case certain online shops b3group.lt features may not be available to him. By accepting the Terms and Conditions, the Buyer agrees to the recording of information on his/her computer/device. The Buyer may withdraw this consent at any time by changing the settings of his/her web browser or by contacting the Seller in the online shop b3group.lt using the contact details below.
2.11. Any request or instruction relating to the processing of personal data must be made in writing by the Buyer to the Seller in one of the following ways: by delivering such request or instruction directly to the Seller at the following address Verslo g. 26-4, Kaunas, Lithuania by sending such a request or instruction by post to the address set out in this paragraph or by e-mail to info@b3group.lt from the e-mail address set out in paragraph 2.2 of these Rules. Upon receipt of such a request or instruction from the Buyer, the Seller shall provide the Buyer with a written reply within 30 (thirty) calendar days at the latest.
2.12. If the Customer does not agree to the provisions of the Personal Data Protection Policy set out in this section of the Terms and Conditions, the Customer shall lose the right to use the online shop b3group.lt services.
3. The moment of conclusion of the sale and purchase agreement
3.1 The Contract between the Buyer and the Seller shall be deemed to be concluded from the moment the Buyer, having selected the product(s) to be purchased and having created a shopping cart, clicks on the "Checkout" link.
3.2 Every contract of sale concluded between the Buyer and the Seller shall be recorded and kept in a register b3group.lt in the online shop's database.
4. Buyer's rights
4.1 The Buyer has the right to purchase the Goods b3group.lt in the Online Shop in accordance with the procedures set out in these Terms and Conditions and in the other information sections of the Seller's Online Shop.
4.2 The Buyer shall have the right to withdraw from the contract for the sale of goods concluded with b3group.lt by notifying the Seller in writing (by e-mail, indicating the product to be returned and its order number) no later than 7 (seven) working days from the date of delivery/collection of the item, unless the contract is concluded for:
4.3 The Buyer's right provided for in Clause 4.2 of the Rules shall be exercised in accordance with the Rules on the Sale of Goods and Provision of Services when Contracts are Concluded by Means of Communication, approved by Order of the Minister of the Economy of 17 August 2001 No 258.
4.4 The Buyer may exercise the right provided for in Clause 4.2 only if the goods have not been damaged or substantially altered in appearance and have not been used.
4.5 In the event that the Buyer b3group.lt purchases a set of goods in the online shop and wishes to withdraw from the contract of sale in respect of the particular product(s) in accordance with the right provided for in Clause 4.2 of the Regulations, he/she must return the entire set of goods to the Seller, i.e. the Buyer may only exercise the right provided for in Clause 4.2 of the Regulations in respect of all the goods contained in the set. In the event that any of the goods in the set do not meet the requirements set out in Clause 11.4 of the Conditions, the Seller shall be entitled to refuse to accept the returned set of goods.
5. Obligations of the Buyer
5.1 The Buyer shall pay for and accept the Goods in accordance with these Conditions.
5.2 Once registered, the Buyer undertakes not to disclose his/her login details to third parties. If the Buyer loses his/her login data, he/she must immediately inform the Seller in the section "Contact" by the means of transport indicated.
5.3 If the details provided by the registered Buyer in the registration form change, the registered Buyer must update them immediately.
5.4. the Buyer shall, by using the b3group.lt the online shop, undertakes to comply with these Terms and Conditions, the other terms and conditions expressly set out in the online shop, and not to infringe the legislation of the Republic of Lithuania.
6. Seller's rights
6.1 The Seller shall have the right, at its sole discretion, to determine the minimum basket size, i.e. the minimum amount at which the Buyer's order will be filled. This amount is visible when viewing the shopping cart.
6.2 If the Buyer attempts to undermine the stability and security of the online shop or violates his/her obligations, the Seller shall have the right to restrict or suspend the Buyer's access to the online shop or, in exceptional cases, to cancel the Buyer's registration, immediately and without warning.
6.3 In serious circumstances, the Seller may temporarily or permanently suspend the operation of the Online Shop without prior notice to the Buyer.
6.4 The Seller shall have the right to cancel the Buyer's order without prior notice to the Buyer if the Buyer fails to pay for the Goods within 3 (three) working days after having chosen the payment methods provided for in Clauses 8.2.1 or 8.2.2 of the Regulations.
6.5 Where the Buyer chooses the method of payment provided for in Clause 8.2.4 of the Regulations - cash at the time of delivery of the goods, the Seller, in the event of any uncertainty regarding the information provided in the order, shall contact the Buyer by telephone number specified in the order. In such case, the delivery period shall commence from the date of contact with the Buyer. The Seller shall have the right to cancel the Buyer's order without prior notice to the Buyer if the Seller fails to contact the Buyer within 3 (three) working days.
7. Obligations of the Seller
7.1 The Seller undertakes to provide the Buyer with access to the online shop under the terms and conditions set out in these Terms and Conditions and in the online shop b3group.lt services.
7.2 The Seller undertakes to respect the Buyer's right to privacy of his/her personal information, i.e. to process the personal data specified by the Buyer only in accordance with the procedure set out in Section 2 of the Rules and the legislation of the Republic of Lithuania.
7.3 The Seller undertakes to deliver the Goods ordered by the Buyer to the address specified by the Buyer in accordance with the terms and conditions set out in Section 9 of the Conditions.
7.4 If the Seller is unable to deliver the goods ordered to the Buyer due to important circumstances, the Seller undertakes to offer an analogous product or a product that is as similar as possible in terms of its characteristics. If the Buyer refuses to accept an analogous or most similar product, the Seller undertakes to refund the money paid by the Buyer within 3 (three) working days, provided that prepayment has been made.
7.5.If the Buyer exercises the right provided for in Clause 4.2 of the Terms and Conditions and in the event of the condition provided for in Clause 4.4 of the Terms and Conditions, the Seller undertakes to refund the money paid to the Buyer within ten (10) working days from the date of receipt of the returned goods.
8. Prices, payment procedures and terms
8.1 The Buyer shall pay for the Goods in one of the following ways:
8.1.1. After completing your order, in the "Payment method" step, select "" payment option for Montonio's payment initiation service. Select the bank you want to pay through and you will be redirected to the Montonio.lt page with detailed information about your purchase. Once you have initiated payment for your order, you will need to log in to your online banking to pay for your order. Once your order has been paid, you will be returned to b3group.lt page.
8.1.2. After completing the order, select the "Montonio" card payment option in the "Payment method" step. Enter your Google Pay, Apple Pay, Visa or Mastercard details and confirm the payment. Once you have paid for your order, you will be returned to the b3group.lt website.
8.1.3. Pay by bank transfer - pay by making a money transfer to our bank account. Please enter your order number in the payment details. Your order will not be dispatched until the transfer reaches our bank account.
8.2 The Buyer undertakes to pay promptly by the methods of payment set out in Clauses 8.1.1, 8.1.2 and 8.1.3. In the aforementioned cases, subject to the Seller's right provided for in Clause 6.4 of the Rules, only upon receipt of payment for the Goods shall the consignment of the Goods begin to be formed and the time limit for delivery of the Goods begin to run.
8.3 By accepting the Terms and Conditions, the Buyer agrees that the purchase documents - the VAT invoices, which are also the warranty certificates for the Goods, shall be provided to the Buyer electronically at the email address provided in the Buyer's registration form. The VAT invoices in the above form shall be submitted to the Buyer at the latest before the goods are handed over to him. Once the Buyer has placed an order, he/she can see and print the order sheet - the pre-paid invoice - under "My b3group.lt". The invoices indicate the goods selected, the quantity, the discounts to be granted, the final price of the goods, including all taxes, delivery charges, administration fee, and any other data required by the legislation governing accounting.
8.4 The Buyer and the Seller agree that after the Buyer has placed an order for the goods and the Seller has confirmed it, the price of the goods may change, taking into account objective indicators affecting the price of the goods, such as an increase in the cost of the goods, a technical error in the information systems, or additional costs related to the sale of the goods to the Buyer (Art.313 para.7 of the Civil Code). If the Buyer does not agree to purchase the goods at the new price in such a case, either Party shall have the right to terminate the contract for the sale of the goods upon notice to the other Party. The Parties agree that no damages shall be payable in connection with the termination of the sale and purchase agreement in accordance with the procedure set out in this paragraph.
9. Delivery of goods
9.1 When ordering the Goods, the Buyer may choose the method of delivery of the Goods, i.e. to use the Seller's delivery service or to collect the Goods from one of the Lithuanian Post Offices or the Seller's collection point.
9.2 Delivery of Goods to the Buyer:
9.2.1 The Buyer, by selecting a delivery service at the time of ordering, undertakes to specify the exact place of delivery.
9.2.2 The Buyer undertakes to accept the Goods himself. In the event that the Buyer is unable to take delivery of the Goods himself and the Goods have been delivered to the address indicated and on the basis of other data provided by the Buyer, the Buyer shall not be entitled to make any claim against the Seller in respect of the delivery of the Goods to the wrong entity.
9.2.3 The Goods shall be delivered by the Seller or its authorised representative.
9.2.4 The delivery/transportation charge shall be calculated based on the location of delivery and the weight of the goods and whether the Buyer wishes to use a delivery service:
9.3 Collection of Goods from the Seller's collection points:
9.3.1.The Buyer may collect the Goods free of charge from the Seller's collection point located at Verslo g. 26-4, Kaunas, Lithuania.
9.3.2.Ordered goods must be collected no later than within 3 (three) working days from the moment of receipt of the Seller's confirmation that the order is ready.
9.3.3 The Goods may only be collected by the person who placed the order or by the person specified at the time of placing the order. When collecting the Goods, it is necessary to carry and present to the Seller's employee a valid identity document (ID card, passport or a new driver's licence).
9.4 The Seller shall deliver the Goods to the Buyer in accordance with the terms specified in the descriptions of the Goods. These time limits are provisional and do not apply in cases where the Seller does not have the goods in stock and the Buyer is informed of a shortage of the goods ordered. The Buyer also agrees that in exceptional cases the delivery of the goods may be delayed due to unforeseen circumstances beyond the Seller's control. In such case, the Seller undertakes to contact the Buyer immediately to agree on the terms of delivery.
9.5 In all cases, the Seller shall be exempt from liability for breach of the time limit for delivery of the Goods if the Goods are not delivered to the Buyer, or are not delivered on time, due to the Buyer's fault or due to circumstances beyond the Buyer's control.
9.6 At the time of delivery of the Goods to the Buyer, the Buyer shall inspect the condition of the consignment and the Good(s) together with the Seller or its authorised representative and sign the consignment handover-receipt document. Once the Buyer has signed the document of delivery and acceptance of the consignment, the consignment shall be deemed to have been handed over in good condition, and there shall be no damage to the goods attributable to defects other than manufacturing defects and no inconsistencies in the composition of the item(s) (such as can be detected by an external inspection of the goods). If the Buyer notices that the packaging of the delivered consignment is damaged (crumpled, wet or otherwise externally damaged), that the item(s) are damaged and/or that the item(s) are not in the right condition, the Buyer shall note this in the handover/acceptance document of the consignment, and shall draw up, in the presence of the Seller or his representative, a free-form certificate of the damage/mismatch between the consignment and/or the item(s). If the Buyer fails to do so, the Seller shall be exempt from liability to the Buyer in respect of any damage to the goods, provided that such damage is not due to a manufacturing defect, and in respect of any inconsistencies in the assembly of the goods, provided that such inconsistencies can be ascertained by an external inspection of the goods.
10. Guarantee of the quality of the goods and the period of fitness for use

10.2 The Seller shall not be liable for the fact that the colour, shape or other parameters of the goods in the online shop may not correspond to the actual size, shape and colour of the goods due to the characteristics of the display used by the Buyer.
10.3 The Seller shall provide a guarantee of the quality of the goods for a certain period of time for certain types of goods, the specific term and other conditions of which shall be set out in the descriptions of such goods.
10.4 Where a period of fitness for use is prescribed by law in respect of particular goods, the Seller undertakes to sell such goods to the Buyer in such a way that the Buyer is given a realistic opportunity to make use of such goods before the expiry of the period of fitness for use.
11. Responsibility
11.1 The Buyer is fully responsible for the accuracy of the personal data provided by him. If the Buyer fails to provide accurate personal data, the Seller shall not be liable for the consequences arising therefrom and shall be entitled to claim direct damages from the Buyer.
11.2 The Buyer is responsible for the actions performed using this online shop.
11.3 Once registered, the Buyer is responsible for the transfer of his/her login data to third parties. If b3group.lt the services are used by a third party who logs into the online shop using the Customer's login details, the Seller shall treat that person as the Customer.
11.4 The Seller shall be exempt from any liability where the loss is caused by the Buyer's failure to read these Terms and Conditions, notwithstanding the Seller's advice and obligations, when given the opportunity to do so.
11.5 If the Seller's online shop contains links to the websites of other companies, institutions, organisations or persons, the Seller is not responsible for the information or activities contained therein and does not supervise, control or represent such companies and persons.
11.6 The Seller shall not be liable for the proper performance of the obligations between the Buyer and the Seller's partners whose services the Buyer orders.
11.7 In the event of damage, the party at fault shall indemnify the other party against direct damages.
12. Marketing measures taken by the trader
12.1 The Seller may, at its sole discretion, initiate on the Online Shop b3group.lt various promotions.
12.2 The Seller shall have the right to unilaterally, without separate notice, change the terms and conditions of the promotions and to cancel them, and to unilaterally, without separate notice, change the conditions and procedures for use in payment for the Goods and to cancel them. Any modification or cancellation of the terms and conditions of the promotions and of the procedure for the exercise of the exercise of the promotions shall be effective only prospectively, i.e. as from the moment of their execution.
13. Exchange of information
13.1 The Seller shall send all notices in the manner provided for in Clause 2.2 of the Rules to the email address provided by the Buyer.

14. Final provisions
14.1 These Rules are drawn up in accordance with the legislation of the Republic of Lithuania.
14.2 Relationships arising under these Rules shall be governed by the law of the Republic of Lithuania.
14.3 All disagreements arising out of the application of these Rules shall be settled by negotiation. In the event of failure to reach an agreement, disputes shall be settled in accordance with the procedure established by the laws of the Republic of Lithuania.
